01. Agreement to Terms

By accessing or using the websites, Kora software tools, CRM integration setups, or consulting services provided by Koravio ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you are entering into this agreement on behalf of a company, organization, or another legal entity, you represent that you have the authority to bind such entity to these terms.

02. SaaS Subscriptions & Payments

For our self-serve products (e.g., Kora One, Kora Mail, Kora CRM, Kora Tasks, Kora Social, Kora SEO):

• Billing: You agree to pay the standard monthly subscription fees specified at the time of signup. Subscription charges are billed in advance on a recurring monthly cycles.
• Cancellation: You can cancel your SaaS subscriptions at any time via your account portal. No partial refunds will be issued for billing cycles that have already commenced.
• Service Availability: We strive for a 99.9% uptime. However, we are not liable for business interruptions due to host outages, regional blockages, or third-party CRM vendor API revisions.

03. Professional & Custom Services

For custom engineering projects, API configuration sprints, and business strategy advisory:

• Scope & Estimates: All setups, data integrations, and consulting services are delivered based on custom scopes defined in signed Statements of Work (SOW) or Master Services Agreements (MSA).
• Payment Terms: Project sprints require milestones or monthly retainer payments as structured in the project SOW. Delayed payments may result in the suspension of live pipelines or developer hours.
• System Modifications: Since custom workflows run on external apps, any subsequent modifications to your connected tools by you or third parties are not covered by our standard setup fee.

04. Intellectual Property

We retain all rights, title, and interest in and to our proprietary Kora software, including logos, visual interface elements, and system code templates. For custom advisory projects, ownership of deliverable files and client-specific databases transfers to the client upon full payment of the project invoice, subject to our license to use standard pipeline connectors.

These terms and conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Indore, Madhya Pradesh, India.
